Terms of Use

THIS POLICY IS EFFECTIVE ON AUGUST 18, 2021

These Terms of Use (“Terms”) apply to all visitors to the Greek Orthodox Metropolis of Chicago, an Illinois not-for-profit corporation, together with its affiliates, ministries and integrated auxiliaries (collectively, the “GOMC”) websites, social media sites and applications (collectively, the “Sites”). By accessing or using the Sites, including the Sites’ video streams, links, and similar amenities, you agree to the following Terms. You should review these Terms regularly as they may change at any time in our sole discretion and without the obligation to provide you advance notice. If you do not agree to any term or condition, you should not access or otherwise use the Site. These Terms govern your use of the GOMC Sites, which allows individuals like you to access programs (“Programs”) or “Content” (as hereinafter defined in Section 7) through websites, social media sites, and applications that we power.

  1. We Provide Our Sites For Your Convenience Only

Our Sites are provided to you as a convenience and for your information only. By merely providing access to our Sites, we do not warrant or represent that:

  • The content is accurate or complete;
  • The content is up-to-date or current;
  • We have a duty to update any content;
  • The content is free from any inaccuracies or typographical errors;
  • The content is free from changes caused by third party; and
  • Your access to our Sites will be free from interruptions, errors, computer viruses or other harmful components.

GOMC does not assume any liability for these or any other matters or any Content on our Sites. In other words, your use of our Sites is completely at your own risk. You are responsible for obtaining Internet access and a compatible, Internet-connected device to view, stream and/or download Programs or Content. The quality of your viewing experience depends on a number of factors, including your viewing device and the quality of your Internet connection.

In using the Sites, you agree that you will not:

  • Scrape, reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble the Sites or any source code therein
  • Attempt to circumvent any technical measures (including digital rights management) that we may employ
  • Take any measures to interfere with or damage the Sites
  • Use the Sites to transmit tortious, unlawful, infringing, and otherwise objectionable content
  • Spam or harass GOMC any Indemnified Parties or any other user
  • Use any fraudulent, deceptive, or misleading practices
  • Collect personal information about users
  • Engage in any commercial activities except as permitted by GOMC
  • Engage in any illegal activities
  1. We Provide Our Sites “As Is” and Disclaim All Warranties

Our Sites, including all content, software and functions made available on or accessed through our Sites, are provided “as is, where is” and “as available”. To the fullest extent permissible by law, we and any subsidiaries and affiliates make no representations or warranties of any kind as to the content, software or functions accessed through our Sites, for any links to third parties or for any breach of security associated with the transmission of sensitive information through our Sites or any linked site. WE DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, QUIET ENJOYMENT, QUALITY OF INFORMATION, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS INCLUDES LOSS OF DATA ARISING OUT OF THE USE OR THE INABILITY TO USE THE CONTENT OF OUR SITE. WE DO NOT WARRANT THAT ANY CONTENT OR INFORMATION ACCESSED THROUGH OUR SITE WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SITES OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT SHALL GOMC OR ANY OF ITS “INDEMNIFIED PARTIES” (as hereinafter defined) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR DIRECTLY OR INDIRECTLY RELATED TO AND ACCESS, POSSESSION OR  USE OF, OR THE INABILITY TO USE, OUR SITES OR CONTENT, EVEN IF GOMC OR THE INDEMNIFIED PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Without limiting the above, none of GOMC or any Indemnified Parties make any representations or warranties concerning:

  • The availability of the Sites in a particular jurisdiction.
  • The availability of the Sites for any particular device, operating system, or browser.
  • The continued support for a particular feature of the Sites.
  • The viewing quality of any Program or Content. None of GOMC nor any Indemnified Parties guarantee that you will be able to use the Sites or view any Program or Content uninterrupted or error-free.
  • The content of any Program or Content or the suitability of any Program or Content for any audience. All opinions and statements expressed by or in Programs or Content (or related materials) are those of the presenter of the Program or Content and/or persons involved in the production of the Program or Content, not GOMC or any Indemnified Parties.
  • The continued availability of any Program or Content or the availability of particular Program or Content within a subscription set.
  • Any actions or omissions with respect to your personal information.

To the maximum extent permitted by law, GOMC, and our affiliates, parishes, clergy, hierarchs, parish council, officers, directors, employees, representatives, consultants, agents, partners, suppliers, affiliates, donors, sponsors, service providers, licensors and licensees (collectively, the “Indemnified Parties”) shall not be liable for (i) any direct, indirect, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses; or (ii) damages relating to any dispute between you and a Program or Content presenter or other GOMC user or Indemnified Parties. The foregoing limitations apply to all claims, whether based on warranty, contract, tort, or any other legal theory, whether or not GOMC or any Indemnified Parties have been informed of the possibility of such damage, and whether a remedy set forth herein is found to have failed its essential purpose. Some jurisdictions may not allow the exclusion of certain warranties or the exclusion or limitation of liability as set forth above, so these limitations above may not apply to you.

  1. We Do Not Have Responsibility for Links to Third Party Content

We may provide hyperlinks or pointers to other web sites maintained by third parties or may provide third party content on our sites by framing or other methods. The links to third party web sites are provided for your convenience and information only. The content in any linked web site is not under our control so we are not responsible for the content, including any further links in a third party site. If you decide to access any of the third party site linked to from our  Sites, you do this entirely at your own risk. It is up to you to take precautions to ensure that the third party you link to for your use is free of computer viruses, worms, trojan horses and other items of a destructive nature.

  1. If We Provide a Link, We Do Not Necessarily Endorse a Third Party

We reserve the right to terminate a link to a third party web site at any time. The fact that we provide a link to a third party web site does not mean that we endorse, adopt, authorize, sponsor, or have any liability regarding that web site. It also does not mean that we are affiliated with the third party web site’s owners or sponsors. We make no representation or warranty regarding anything on a website other than out Sites and your visiting or interacting with any such other websites is completely at your own risk with no liability of GOMC or any Indemnified Parties.

  1. If a Third Party Links to Our Sites, It is Not an Endorsement

If a third party links to our Sites, it is not necessarily an indication of an endorsement, adoption, authorization, sponsorship, affiliation, joint venture, or partnership by or with us. In most cases, we are not aware that a third party has linked to our Sites.

  1. By Providing Content, We Do Not Allow You to Use Our Trademarks or Resell Content

The trademarks, service marks and logos used and displayed on our Sites are our registered and unregistered trademarks. Nothing on our Sites should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, without our written permission. We enforce our intellectual property rights, and our name or our logos may not be used in any way, including in advertising or publicity pertaining to distribution of materials on our Sites, without prior written permission. You may not use any metatags or any other “hidden text” utilizing our names or trademarks without the prior express written consent of GOMC. You are not authorized to use our logo as a hyperlink to our Sites unless you obtain our written permission in advance.

Subject to the terms hereof, you have the right to stream and/or (if offered) download the Programs or Content s for your personal use. You may not resell streams or downloads, use any Programs or Content  for any commercial purpose, redistribute or retransmit any Programs or Content , publicly perform or display any Programs or Content , or make derivative works from any Programs or Content . All rights not expressly granted herein are reserved.

Our partners, suppliers, advertisers, sponsors, licensors, contractors and other third parties may also have additional IP rights on our Sites.

  1. Content on Our Sites May Be Protected by Copyright Laws

Much of the content included on our Sites, including any materials, documents, text, designs, graphics, logos, images, audio, and video (“Content”) is protected by United States and international copyright laws. The design, artwork, visual presentation and general “look and feel” of all Content on our Sites are the exclusive property of GOMC and also protected by United States and international laws pertaining to copyright, trademark, and service mark, as applicable. You may not inline, frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information of GOMC without our prior express written permission. Any party that believes that its copyrights (or other intellectual property) have been infringed is directed to file a takedown notice by providing notice to us.

  1. You Must Obey All Laws in Accessing Our Sites

These Sites are controlled by us from our offices within the United States of America. We make no representation that content or materials on the Sites are appropriate or available for use in other jurisdictions. Access to our Sites content or materials from jurisdictions where such access is illegal is prohibited. If you choose to access our Sites from other jurisdictions, you do so on your own initiative and are responsible for compliance with applicable local laws. We are not responsible for any violations of law. To the extent that any liability extends to the GOMC or Indemnified Parties by any such improper access to our Sites, you agree to indemnify and hold GOMC and all Indemnified Parties harmless for any such liabilities including but not limited to fines, penalties, interest, and costs incurred in defending against or correcting any damages.

  1. You are Bound by Changes in these Terms of Use

We may at any time revise, suspend, amend or add to these Terms by updating this page and without any obligation to provide advance notice. By using our Sites, you agree to be bound by the then-current version of these Terms, including any such revisions. Accordingly, you should periodically visit this page to determine the then current Terms to which you are bound. Certain provisions of these Terms may be superseded by other legal notices or terms located on parts of our Sites or applicable laws, all of which are incorporated herein by this reference.

  1. You Agree to Indemnify Us for Using Our Sites

You hereby jointly and severally agree to indemnify, defend and hold us and Indemnified Parties harmless from and against any and all liability and costs, including, without limitation, attorneys’ fees and costs incurred by the Indemnified Parties in connection with (a) any claim or liability of any kind arising out of your access, possession or use of our Sites or any Content or (b) any breach by you, or anyone under your control, of these Terms, or violation of any law or third party right; or (c) any materials, documents, text, designs, graphics, logos, images, audio, video, content or communications that you submit to us. If the indemnity provided in this paragraph is not available or is insufficient to hold harmless the Indemnified Parties for any reason, you agree to contribute to the aggregate losses, claims and liabilities to which the Indemnified Parties may be subject in such proportion as appropriate to reflect the relative fault by you and the Indemnified Parties with respect to the activity giving rise to the indemnity claim. You will cooperate as fully as reasonably required in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you will not in any event settle any such matter without our written consent.

  1. Third Parties May Have Rights Under This Agreement

Some of the provisions of these Terms are for the benefit of GOMC and its Indemnified Parties. Each of these Indemnified Parties shall have the right to assert and enforce any or all of these provisions directly against you on its own behalf.

  1. Governing Law

Any legal issues arising from or related to your visit to the Sites or services provided through our Sites shall be construed in accordance with, and all questions with respect thereto shall be determined by, the laws of the State of Illinois applicable to contracts entered into and wholly to be performed within that state. By using our Sites, and thereby being bound to these Terms, users consent to personal jurisdiction and venue in the state and federal courts in Illinois with respect to all disputes.

  1. Miscellaneous

Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms. We may change, suspend, or discontinue any aspect of our Content,  Sites or service at any time. GOMC reserves the right to change system configurations, product specifications, upgrades, layouts, options, and any other specifications at any time without notice. We may also impose limits or restrictions on certain services, features or content or restrict your access to parts or all of our Sites without notice or liability. Our policies concerning the information we collect about you, how we use it, and with whom we share are set forth in our Privacy Policy.

If any term of these Terms is held invalid or unenforceable, that term will be construed in a manner consistent with applicable law to reflect, as nearly as possible, our original intention, and the remaining terms will remain in full force and effect. Headings are provided for convenience and shall not be used to construe the terms hereof. These Terms are binding on the parties and their affiliates, successors, heirs, and permitted assigns. These Terms are not assignable or transferable by you without our prior written consent. No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms. No third parties shall have any rights under these Terms, and indemnified parties may enforce indemnification rights.

GOMC shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; natural disasters; wars; civil or military disturbances; sabotage; strikes; epidemics; riots; power failures; computer failure; loss or malfunction of utility, transportation, computer (hardware or software) or telephone communication service; accidents; labor disputes, acts of civil or military authority; governmental actions; or inability to obtain labor, material, equipment or transportation.

These Terms incorporate the Privacy Policy by reference. These Terms set forth the entire understanding between you and GOMC concerning your use of the Sites and Content and supersedes all prior understandings, policies, agreements or exchanges regarding the same. This Agreement may only be modified by us. Any changes will be posted to the Sites and will apply prospectively.
